1. Agreement to Terms

By accessing or using the website located at basisedge.co (the "Site") or any products and services offered by BasisEdge LLC ("BasisEdge," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site or our services.

2. Description of Services

BasisEdge provides market intelligence tools for physical commodity buyers, including but not limited to the MaterialLens platform. Our services deliver data analytics, market signals, and informational content related to physical commodity pricing.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use our services. By using BasisEdge, you represent and warrant that you meet these requirements.

4. Account Registration

Certain features require you to create an account at app.basisedge.co. You agree to provide accurate and complete registration information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

5. Subscription and Payment

Paid plans are billed on a monthly per-seat basis. Prices are listed on our Pricing page and may be updated with 30 days' notice. All fees are non-refundable except where required by law. We offer a 14-day free trial for new accounts; no credit card is required to start a trial.

6. Acceptable Use

You agree not to:

  • Use the services for any unlawful purpose.
  • Attempt to reverse-engineer, decompile, or otherwise derive source code from our software.
  • Redistribute, sublicense, or resell data or content obtained from BasisEdge without written permission.
  • Interfere with or disrupt the integrity or performance of the services.
  • Use automated scripts, bots, or scrapers to access the services without our express written consent.
  • Engage in any activity that directly or indirectly competes with services offered by BasisEdge, or attempt to do so.

7. Intellectual Property

All content, trademarks, and data on the Site are the property of BasisEdge LLC or its licensors. You are granted a limited, non-exclusive, non-transferable license to access and use the services for their intended purpose.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BASISEDGE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASISEDGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

10. Indemnification

You agree to indemnify and hold harmless BasisEdge, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses arising from your use of the services or your violation of these Terms.

11. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any reason at our sole discretion. Upon termination, your right to use the services will immediately cease.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email. Continued use of the services after changes take effect constitutes acceptance of the revised Terms.
